Terms of Service

By accessing or using Hookly AI ("the Service"), operated by Hookly AI, Inc. ("Hookly AI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Hookly AI. Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference. We encourage you to read both documents carefully before using the Service.

You represent that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Hookly AI is an artificial intelligence-powered software-as-a-service platform designed to assist LinkedIn professionals, content creators, marketers, and businesses in creating high-quality LinkedIn content. The Service includes, but is not limited to, the following features:

• Hook Generator with Hook Scoring: AI-powered generation of scroll-stopping opening lines (hooks) for LinkedIn posts, backed by psychological frameworks and engagement data. Each hook receives a proprietary Hook Score (1-100) rating its viral potential.
• Full Post Generator: End-to-end creation of complete LinkedIn posts (200-300 words) including hooks, body content, and calls-to-action in various formats and tones.
• Post Analyzer: Analysis and scoring of existing LinkedIn posts with actionable improvement suggestions and engagement predictions.
• First Comment Generator: AI-assisted generation of thoughtful first comments to increase post visibility and engagement.
• Hashtag Generator: Intelligent hashtag recommendations based on content analysis and trending topics.
• Post Templates: A curated library of 50+ proven LinkedIn post structures and frameworks that users can customize and leverage.
• LinkedIn Integration: Optional LinkedIn account connection via OAuth 2.0 providing Feed view, engagement Insights, and Direct Publishing (Pro and Elite plans).

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

To access certain features of the Service, you must create a user account. When registering, you agree to provide accurate, current, and complete information and to keep this information up to date. Providing false or misleading information may result in immediate suspension or termination of your account.

You are responsible for safeguarding your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

Each user is permitted to maintain one account per individual and one account per organization. Creating multiple accounts for the purpose of circumventing usage limits, exploiting free trials, or any other abusive purpose is strictly prohibited and may result in the suspension of all associated accounts.

You may not transfer your account to another person, use another person's account without permission, or permit any third party to access your account without our prior written consent. Upon your death or legal incapacity, your account and all associated data will be handled in accordance with applicable law.

Hookly AI offers the following subscription plans, each with distinct features and usage limits:

Generation allowances are subject to fair use: the listed monthly limits (30 for Free, 800 for Pro, 3,200 for Elite) reset at the start of each calendar month and do not roll over. We may further throttle usage that is automated, abusive, or resold, in order to keep the service reliable and fairly priced for everyone.

By subscribing to a paid plan, you authorize us to charge the applicable fees to your designated payment method. All fees are quoted in US Dollars (USD) unless otherwise stated. Subscription fees are non-refundable except as expressly set forth in these Terms or required by applicable law. Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

We reserve the right to change our pricing at any time, provided that we give you at least 30 days' advance notice before the change takes effect. Price changes will not affect your current subscription period. The new price will apply at your next renewal.

Each subscription plan is subject to specific usage limits as described on our pricing page and within the Service. These limits are measured on a monthly basis and reset on the first day of each billing cycle. Usage limits include, but are not limited to, the number of hooks generated, posts created, analyses performed, and API calls made.

You agree not to engage in any activity that unreasonably or disproportionately strains our infrastructure, including but not limited to: automated scripting or bot usage to access the Service, excessive API calls, bulk extraction of data, or any action that interferes with the proper functioning of the Service for other users.

If we reasonably believe that your usage exceeds the limits of your plan or violates our fair use policy, we reserve the right to throttle your access, request that you upgrade your plan, or suspend your account. We will attempt to notify you of any such action before taking it, except in cases where immediate action is necessary to protect the integrity of the Service.

The Service and its original content (excluding content provided by users), features, and functionality are and shall remain the exclusive property of Hookly AI and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks, service marks, and trade dress (including, but not limited to, the Hookly AI name and logo) may not be used in connection with any product or service without the prior written consent of Hookly AI. All rights not expressly granted to you in these Terms are reserved by Hookly AI.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms. This license does not include the right to: modify, reproduce, distribute, or create derivative works of the Service; use any data mining, robots, or similar data gathering methods; download or copy any portion of the Service except as expressly permitted; or use the Service for competitive analysis or to build a competing product.

Your Input Content. You retain all rights to any text, data, instructions, or other materials you provide to the Service ("Input Content"). By submitting Input Content, you grant us a limited, worldwide, non-exclusive license to process your Input Content for the purpose of providing the Service and generating output.

AI-Generated Output. Subject to your compliance with these Terms and payment of applicable fees, you own all rights to the content generated by the Service in response to your Input Content ("Generated Content"). You may use, modify, publish, and commercially exploit Generated Content without attribution to Hookly AI.

Important Limitations. While you have ownership rights to Generated Content, we do not guarantee that such content does not infringe upon the intellectual property rights of third parties. You are solely responsible for reviewing Generated Content before publication and ensuring that your use of such content complies with all applicable laws and does not violate the rights of any third party.

Service Improvements. You acknowledge and agree that we may use aggregated, anonymized data derived from the use of the Service, including patterns in Input Content and Generated Content, to improve, train, and enhance our AI models and the Service. We will not use your Input Content or Generated Content in a manner that is personally identifiable to you without your explicit consent.

You agree not to use the Service in any way that violates applicable laws, regulations, or third-party rights. The following activities are expressly prohibited:

• Spam & Unsolicited Outreach: Using the Service to generate mass spam, unsolicited messages, phishing content, or content designed to deceive or mislead recipients.
• Harassment & Hate Speech: Creating content that harasses, bullies, threatens, or incites hatred or violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Illegal Content: Generating content that promotes, facilitates, or encourages illegal activities, including but not limited to fraud, drug trafficking, terrorism, exploitation of minors, or any other criminal conduct.
• Misinformation & Disinformation: Deliberately generating false, misleading, or deceptive content presented as factual information, including fake news, fabricated statistics, or manipulated claims.
• Impersonation: Using the Service to impersonate any person, business, or entity, or to create content that falsely represents its source or authorship.
• Privacy Violations: Generating content that discloses or exploits personally identifiable information, confidential data, or private communications without consent.
• System Abuse: Attempting to gain unauthorized access to our systems, reverse engineer our AI models, circumvent usage restrictions, or use automated tools to exploit the Service.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, HOOKLY AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Service will be accurate, reliable, or complete; (c) the quality of any content generated by the Service will meet your expectations or professional standards; or (d) any errors or defects in the Service will be corrected.

You understand and agree that the Service leverages artificial intelligence and machine learning technologies, which inherently involve a degree of unpredictability. Generated Content may contain inaccuracies, inconsistencies, or output that is unsuitable for your intended purpose. You bear sole responsibility for reviewing, editing, and validating all Generated Content before use.

No advice or information, whether oral or written, obtained by you from Hookly AI or through the Service shall create any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOOKLY AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HOOKLY AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HOOKLY AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS ACTUALLY PAID BY YOU TO HOOKLY AI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Hookly AI, its parent company, affiliates, and their respective directors, officers, employees, agents, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of or inability to use the Service;
• Your violation of any provision of these Terms;
• Your violation of any applicable law, regulation, or the rights of any third party;
• Any content you create, publish, or distribute using Generated Content from the Service, including but not limited to claims of defamation, intellectual property infringement, or misrepresentation;
• Any dispute between you and any other user or third party arising from your use of the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with our defense of such claim. This indemnification obligation will survive the termination of these Terms and your use of the Service.

Termination by You. You may terminate your account and subscription at any time by contacting us through our support channels or by using the account settings within the Service. Upon termination, your right to access and use the Service will cease immediately. You will not be entitled to a refund of any fees already paid for the current billing period, except as expressly provided by applicable law.

Termination by Hookly AI. We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms; (b) conduct that we determine, in our sole discretion, is harmful to other users, the Service, or third parties; (c) fraudulent, abusive, or unlawful activity; or (d) prolonged inactivity.

Effect of Termination. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability. We are not obligated to retain your data after termination and may delete your account data after a 30-day grace period, unless retention is required by law.

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, United States of America, without regard to its conflict of law principles. You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Pennsylvania, in each case located in Pittsburgh, Pennsylvania.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

Informal Resolution. Before filing any formal legal claim, you agree to first contact us at legal@hooklyai.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days before either party may initiate formal proceedings.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' advance notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

We will notify you of material changes by: (a) posting the updated Terms on our website and updating the "Last updated" date at the top of this page; (b) sending a notification to the email address associated with your account; or (c) displaying a prominent notice within the Service.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may request that we delete your account by contacting us as described in the Contact Information section below.

We encourage you to review these Terms periodically to stay informed of any updates. Your continued use of the Service following the posting of changes constitutes your acceptance of such changes.
